ProSource MRO provides an online marketplace connecting global buyers with Korean suppliers for industrial products and services. Our platform facilitates:

• RFQ submission and management
• Supplier discovery and verification
• Quote comparison and negotiation
• Order processing and tracking
• Payment processing assistance
• Quality assurance support

3.2 Service Availability

We strive to maintain platform availability 24/7, but cannot guarantee uninterrupted service due to maintenance, updates, or unforeseen circumstances. We reserve the right to modify or discontinue services with reasonable notice.

3.3 Service Limitations

ProSource MRO serves as an intermediary platform. We do not manufacture, sell, or directly provide the products or services listed by suppliers. Our role is limited to facilitating connections and transactions between users.

4.1 Account Creation

To access certain platform features, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access
• Keeping your account information up to date

4.2 Verification Requirements

For Buyers:

• Valid business registration documentation
• Verification of company address and contact information
• Authorization to make purchasing decisions

For Suppliers:

• Business license and tax registration
• Product certifications and quality standards
• Manufacturing or distribution authorization
• Financial stability verification

4.3 Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose risks to other users or platform integrity.

5.1 Prohibited Activities

Users must not engage in any of the following activities:

• Providing false, misleading, or inaccurate information
• Impersonating another person or entity
• Attempting to bypass security measures
• Using the platform for illegal activities
• Sharing confidential information without authorization
• Interfering with platform operations or other users
• Attempting to reverse engineer or copy platform features

5.2 Content Standards

All content submitted to the platform must be:

• Accurate and truthful
• Respectful and professional
• Free from defamatory or discriminatory language
• Compliant with applicable laws and regulations
• Original or properly licensed

5.3 Compliance Requirements

Users must comply with all applicable laws, including but not limited to:

• Import/export regulations
• Tax obligations
• Product safety standards
• Intellectual property rights
• Anti-corruption and anti-bribery laws

6.1 Transaction Process

Transactions facilitated through ProSource MRO follow this general process:

1. Buyer submits RFQ with specifications
2. Qualified suppliers submit competitive quotes
3. Buyer evaluates and selects preferred supplier
4. Parties negotiate final terms and conditions
5. Purchase order and contract execution
6. Production, quality control, and delivery
7. Payment processing and transaction completion

6.2 Payment Terms

Payment arrangements are established directly between buyers and suppliers. ProSource MRO may facilitate payment processing but is not responsible for payment disputes or defaults.

6.3 Platform Fees

ProSource MRO charges commission fees on successful transactions. Current fee structure:

• For Buyers: Platform usage is free
• For Suppliers: Success-based commission on completed sales
• Premium Services: Additional fees for enhanced features

7.1 Platform Disclaimers

ProSource MRO provides the platform "as is" without warranties of any kind. We disclaim all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• Accuracy of supplier information or product specifications
• Uninterrupted or error-free platform operation
• Security of data transmission or storage

7.2 Limitation of Liability

To the maximum extent permitted by law, ENGONE Co., Ltd. shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Actions or omissions of suppliers or buyers
• Product defects or service failures by third parties
• Force majeure events beyond our reasonable control

Our total liability for any claim shall not exceed the fees paid to us in the 12 months preceding the claim.

7.3 Indemnification

Users agree to indemnify and hold harmless ENGONE Co., Ltd. from any claims, losses, or expenses arising from:

• Violation of these Terms or applicable laws
• Infringement of third-party rights
• Negligent or wrongful conduct
• Products or services provided through the platform

8.1 Termination by User

Users may terminate their account at any time by providing written notice. Upon termination:

• Access to platform services will cease
• Pending transactions must be completed or canceled
• Data retention follows our Privacy Policy
• Outstanding obligations remain in effect

8.2 Termination by ProSource MRO

We may terminate or suspend accounts immediately for:

• Material breach of these Terms
• Suspected fraudulent activity
• Legal or regulatory requirements
• Platform security concerns

8.3 Effect of Termination

Upon termination, the following provisions survive:

• Payment obligations and fees
• Intellectual property rights
• Limitation of liability and indemnification
• Dispute resolution procedures

9.1 Governing Law

These Terms are governed by the laws of the Republic of Korea. Any disputes shall be resolved through Korean courts with jurisdiction in Seoul.

9.2 Dispute Resolution

Users agree to attempt resolution of disputes through good-faith negotiation before pursuing legal action. Mediation services are available through recognized Korean commercial arbitration institutions.

9.3 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notice at least 30 days before taking effect. Continued use constitutes acceptance of modified Terms.

9.4 Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
